TERMS AND CONDITIONS
The following Booking Terms and Conditions, together with our Privacy Policy and any other written information brought to your attention before confirmation, form the basis of your contract with The Wadsworth Edit Pte. Ltd. (“TWE”), a company registered in Singapore and operating under the laws of Singapore. TWE operates as an independent affiliate of SmartFlyer Australia, a global luxury travel network.
In these Terms and Conditions, "you" and "your" means all persons named on a booking, including anyone added or substituted at a later date. A "supplier" means any third party providing travel services including flights, accommodation, cruises, car hire, insurance, rail travel or any other travel-related product or service.
By making a booking or instructing TWE to act on your behalf, the lead client agrees on behalf of all persons on the booking that:
a) he/she has read these Terms and Conditions and has authority to, and does, agree to be bound by them;
b) he/she consents to TWE's use of personal data in accordance with our Privacy Policy and is authorised on behalf of all persons named on the booking to disclose their personal details to TWE, including where applicable special categories of data (such as health conditions, disabilities or dietary requirements);
c) he/she is over 18 years of age; and
d) he/she accepts financial responsibility for payment on behalf of all persons on the booking.
1. Booking and Payment
a) To engage TWE's services, please contact us to discuss your travel requirements or request a quotation. If you are satisfied with the quotation, you should confirm your acceptance in writing together with payment of the applicable deposit or planning fee. Written quotations are valid for 20 days from the date of issue unless otherwise stated.
b) A service and/or planning fee applies to all bookings and ticketing arranged by TWE, in accordance with the fee schedule.
c) Where a deposit is required, it is non-refundable and constitutes part payment of your total trip cost. The deposit amount will be shown on your quotation. In addition to the deposit, full or part payment may sometimes be required in advance (for example, for flights), and TWE will advise you accordingly. TWE reserves the right to decline to confirm a booking at its absolute discretion.
d) Please note that payment of a deposit or fee alone does not constitute confirmation of your booking. A binding contract is only formed once TWE issues a written confirmation to you. A confirmation invoice including the balance payment due date will follow once all elements of the booking have been confirmed — a process that may take several weeks.
e) Unless otherwise stated, the balance payment is due no later than 10 weeks prior to departure, or at the time of booking if travel is within 10 weeks. The balance due date will appear on your confirmation invoice. Reminders are not sent. If the balance is not received by the due date, TWE reserves the right to cancel the booking and apply the cancellation charges set out in clause 4.
f) All bank transfer charges are your responsibility. Failure to include these may result in you being re-billed.
g) Quotations are provided in the base currency applicable to the booking on the date the quotation is created.
2. Accuracy
TWE endeavours to ensure all information and prices are accurate at the time of quotation. However, changes and errors can occur and TWE reserves the right to correct prices and details. You must check the current price and all relevant details before confirming your booking.
3. Pricing and Foreign Exchange
Prices are calculated using exchange rates current at the time of quotation. TWE reserves the right to amend the price of unconfirmed bookings at any time and to correct errors on confirmed bookings. Price increases on confirmed bookings will only be applied where directly caused by:
(a) changes in the cost of passenger carriage resulting from fuel or other power sources;
(b) changes to taxes or fees imposed by third parties not involved in performing the holiday, including tourist taxes, landing taxes or port fees; or
(c) relevant exchange rate movements.
If any such increase exceeds 8% of the confirmed trip price (excluding insurance premiums and amendment charges), you will have the option to accept the change, accept an alternative arrangement of comparable or higher quality at no extra cost, or cancel with a full refund of all monies paid to TWE (excluding insurance premiums and amendment fees). You must exercise this right within 7 days of the revised invoice date.
No price changes will be made within 20 days of departure, and no refunds will be issued during this period for price reductions.
Should the price of your holiday decrease due to the above, any refund due will be paid less an administrative fee of SGD 20.
4. Alterations, Transfers and Cancellation by You
a) Alterations: If you wish to alter a confirmed booking, TWE will endeavour to accommodate your request but cannot guarantee it. All change requests must be made in writing by the lead client. An administration charge of 2% of the total trip cost may apply to changes, in addition to any fees imposed by suppliers. Costs may increase the closer the change is made to the departure date; please contact TWE as soon as possible. Where TWE is unable to make the requested change, and you do not wish to proceed with the original booking, this will be treated as a cancellation and the charges in clause 4(c) will apply.
b) Transfers: If you or any member of your party cannot travel, that place may be transferred to another person, provided that:
i) the replacement person is introduced by you and satisfies all applicable conditions;
ii) TWE is notified in writing no less than 7 days before departure;
iii) you pay any outstanding balance, a transfer administration fee of SGD 125 per person, and any additional costs arising from the transfer; and
iv) the new traveller agrees to these Terms and Conditions.
You and the replacement traveller remain jointly liable for all outstanding payments. If no replacement is found, the cancellation charges in clause 4(c) will apply.
c) Cancellations: Cancellations must be notified to TWE in writing by the lead client and will take effect from the date received. TWE incurs costs from the time of booking and the following charges will apply:
PERIOD BEFORE DEPARTURE CANCELLATION CHARGE
More than 3 months = Non-refundable deposit or 30% of total trip cost (whichever is greater)
3 months or less - 100% of total trip cost
Important: Certain travel arrangements — particularly flights — may not be amendable or transferable after confirmation, and cancellation charges of up to 100% may apply to those elements. Supplier cancellation policies will apply where they exceed TWE's charges.
TWE strongly recommends that all clients hold travel insurance covering cancellation. TWE cannot guarantee any flight refunds.
If one or more members of a party cancel, the per-person cost for remaining travellers may increase and you will be liable for that difference.
If you choose to abandon any part of your arrangements during travel, no liability or refund applies to services not taken.
5. Alterations and Cancellation by TWE
a) TWE will do its utmost to deliver the travel arrangements contracted. However, as bookings are made well in advance, occasional changes may be necessary.
b) Minor changes (such as flight time changes of less than 24 hours, aircraft type, carrier, or accommodation upgrades) will be notified where possible before departure. No compensation is payable for minor changes.
c) Significant changes include: a change in accommodation area for a substantial part of the trip; a downgrade in accommodation standard; a departure time change of more than 24 hours; or a material change to the itinerary. If TWE is required to make a significant change or cancel your booking (other than for force majeure or non-payment), you will be offered the choice to:
(i) accept the changed arrangements;
(ii) receive a full refund of all monies paid to TWE; or
(iii) accept an alternative arrangement of comparable or higher standard, if available.
You must notify TWE of your choice within 7 days. Failure to respond will be taken as acceptance of the changed arrangements.
d) TWE will not cancel confirmed bookings less than 60 days before departure except for reasons of force majeure or your failure to make payment.
6. Force Majeure
TWE will not be liable or pay compensation where its contractual obligations are affected by force majeure — meaning any event beyond TWE's or a supplier's control whose consequences could not have been avoided even with all reasonable precautions. Examples include warfare, terrorism (actual or threatened), civil disturbance, significant public health risks, natural disasters, flooding, extreme weather, government actions, industrial disputes, strikes, nuclear or chemical incidents, and unavoidable technical transport failures.
7. Our Responsibility
a) TWE accepts responsibility for the arrangements it agrees to provide. If TWE or its suppliers negligently fail to perform those services and this materially affects your trip, you may be entitled to an appropriate price reduction or compensation, or both. You must notify TWE without undue delay of any failure in performance during your trip.
b) TWE will not be responsible or pay compensation where loss, injury or damage results from:
(i) the acts or omissions of the person(s) affected;
(ii) the acts or omissions of a third party unconnected with the contracted services, which were unavoidable and extraordinary; or
(iii) force majeure (as defined in clause 6).
c) Where liability cannot be excluded under applicable law, it is limited to the remedies required under Singapore law. TWE's total liability in respect of losses arising under or in connection with your booking shall not exceed the total value of your booking (including taxes and deposit), without limiting your statutory rights.
d) TWE will not accept responsibility for services or facilities not forming part of the confirmed agreement, or for excursions and activities booked independently while travelling.
e) TWE will not accept any liability for damage, loss or expense that could not have been foreseen based on the information provided at the time of booking, or that relates to any business loss.
8. Agency
TWE's services comprise itinerary planning and the coordination of travel arrangements through direct contractual relationships between you and the relevant supplier. TWE is not the agent of any supplier and does not guarantee the performance of any supplier's services, nor accept liability for any loss or injury arising from the acts or failings of a supplier. In such circumstances, your remedy lies against the supplier.
9. Complaints
TWE makes every effort to ensure your travel runs smoothly. If a problem arises during your trip, please inform the relevant supplier (for example, your hotel) immediately so they can endeavour to resolve it. If the matter is not resolved locally, please contact TWE at the earliest opportunity.
If the issue remains unresolved and you wish to make a formal complaint, you must send written notice to TWE within 28 days of the end of your trip, including your booking reference and all relevant details. Failure to follow this procedure may affect TWE's ability to investigate your complaint and your rights under this contract.
10. Your Responsibility
It is your responsibility to ensure that you and all members of your travelling party hold valid passports (with at least 6 months validity beyond the return date and at least four blank pages side by side), appropriate visas, and any required vaccinations for all destinations and transit points. Each client is solely responsible for ensuring that their name as provided to TWE matches exactly the name in their passport or travel document. Any amendment required to correct a name discrepancy will incur applicable fees and charges, which shall be borne by the client. Women who are 28 weeks or more pregnant at the time of travel must provide a doctor’s certificate confirming fitness to travel.
TWE can provide general information about entry requirements but cannot check requirements specific to your personal circumstances. You must verify all passport, visa, immigration and health requirements with the relevant Embassies, Consulates and your own medical advisor. Requirements change; please check well in advance of travel. TWE accepts no responsibility if you are unable to travel or incur loss due to failure to comply with these requirements, and you agree to reimburse TWE for any fines or costs it incurs as a result of your non-compliance.
11. Travel Insurance
Adequate travel insurance is a condition of your contract with TWE. You must be fully insured before departure and must ensure that all activities you plan to undertake are covered. At a minimum, your policy must include medical expenses and emergency repatriation. TWE also strongly recommends cover for personal belongings, trip cancellation, delay, personal liability, overseas legal expenses, and — if applicable — adventurous or sports activities.
TWE can assist with insurance referrals; however, it is your responsibility to ensure adequate cover for yourself and any travelling dependants, and to read and understand the Product Disclosure Statement before entering into any insurance contract.
Insurance Waiver: If you choose not to obtain travel insurance, by proceeding with your booking you acknowledge and agree to release TWE from any liability arising from but not limited to: any indirect or consequential loss; any injury, illness, death, loss (including loss of enjoyment or business loss), damage, expense or cost arising from your own fault, the fault of any unconnected third party, or any force majeure event. Emergency evacuation and repatriation costs will be entirely at your own expense.
12. Conditions of Suppliers
Many services forming part of your arrangements are provided by independent suppliers. Those suppliers provide services in accordance with their own terms and conditions, which form part of your contract with TWE. Some supplier terms may limit or exclude liability, in accordance with applicable international conventions. Copies of relevant supplier terms are available on request.
13. Special Requirements and Medical Conditions
If you or any member of your party has a medical condition, disability or special requirement that may affect your travel arrangements, please provide full details to TWE before booking. TWE will endeavour to advise on the suitability of proposed arrangements and may request a doctor's certificate. If TWE is unable to properly accommodate the relevant needs, it reserves the right to decline or cancel the booking and apply applicable cancellation charges.
14. Prompt Assistance
If you find yourself in difficulty during your trip, TWE will provide appropriate assistance, including information on health services, local authorities and consular assistance. Where the difficulty does not arise from any failure by TWE, TWE will not be liable for the costs of any alternative arrangements or assistance required. TWE reserves the right to charge a fee for assistance where the difficulty is caused intentionally or through negligence by you or your party.
15. Privacy
TWE complies with all relevant obligations under the Personal Data Protection Act 2012 (Singapore) (“PDPA”) governing the collection, use, disclosure and care of your personal data. By providing personal information to TWE, you consent to it being collected, used and disclosed in accordance with TWE’s Privacy Policy and as required to facilitate your travel arrangements. This includes disclosure to overseas travel service providers such as airlines, hotels and tour operators, including providers in countries outside Singapore. A copy of our Privacy Policy is available on request.
16. Emergency Disclosure
In the event of a natural disaster or other emergency at a destination you are visiting, you authorise TWE to disclose your contact details, next of kin information and itinerary to relevant government or emergency authorities to assist with your welfare and safety.
17. Schedule Changes
TWE will endeavour to notify you of any schedule changes promptly. TWE recommends checking your flight times 24 hours prior to departure. Airlines reserve the right to alter schedules at their discretion. TWE accepts no liability for loss or disruption arising from airline or carrier schedule changes.
18. Feedback
TWE welcomes feedback from all clients. If you have any comments, complaints or compliments regarding your experience, please contact us in writing at the email address set out in our Privacy Policy or on our website. Your feedback helps us continually improve the service we provide.
19. Indemnity
You agree to indemnify TWE and its officers, directors and employees, immediately on demand, against all claims, liabilities, damages, costs and expenses (including legal fees on a full indemnity basis) arising out of or in connection with any breach of these Terms and Conditions by you or any member of your party, or any negligent or unlawful act or omission by you or any member of your party in connection with the arrangements made by TWE on your behalf.
20. Variation of Conditions
TWE reserves the right to change, amend, modify, suspend or terminate all or any part of these Terms and Conditions at any time without prior notice. You may also be subject to additional terms and conditions imposed by third party suppliers. It is your responsibility to review these Terms and Conditions prior to making a booking. Your continued engagement of TWE’s services following any amendment shall constitute your acceptance of the updated Terms and Conditions.
21. Governing Law
These Terms and Conditions and any disputes arising from them are governed by the laws of Singapore. You and TWE agree to submit to the exclusive jurisdiction of the courts of Singapore in respect of any such dispute.
22. Changes to These Terms and Conditions
The Terms and Conditions applicable to your booking are those in effect at the time of booking, as notified to you in writing. TWE reserves the right to update these Terms and Conditions from time to time. Any such updates will be communicated to you and/or published on TWE's website.
23. Acceptance of Terms
Instructing TWE to act on your behalf and/or making any payment pursuant to an invoice constitutes your full acknowledgement and acceptance of these Terms and Conditions, the fee schedule in Part One, and the inherent risks of travel.
